These Terms of Service (“Terms”) govern access to and use of BananaBox, including its websites, browser-based applications, mobile applications, public menu pages, software, and related services (collectively, the “Services”).
BananaBox is operated by CommonGrid (“BananaBox,” “CommonGrid,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, publishing a menu, or submitting an order, you agree to these Terms. If you do not agree, do not use the Services.
1. The BananaBox Services
BananaBox provides software that allows independent food businesses and other approved sellers (“Vendors”) to:
- Create and publish digital menus
- Display products, prices, images, and availability
- Accept preorder requests from customers
- Manage pickup schedules
- Receive and manage orders
- Communicate order confirmations and status information
- Use operational, automation, analytics, and related business tools
Individuals who browse menus or submit orders are referred to as “Customers.” Vendors, Customers, account representatives, and visitors may collectively be called “Users.”
BananaBox provides technology supporting transactions between Vendors and Customers. Unless expressly stated otherwise, BananaBox is not the seller, manufacturer, preparer, distributor, or delivery provider of food or other products displayed through the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to create a Vendor account.
Customers who have not reached the age of majority in their jurisdiction may use the Services only with the permission and supervision of a parent or legal guardian.
The Services are not directed to children under 13.
When using BananaBox on behalf of a business or organization, you represent that:
- You have authority to bind that business or organization to these Terms
- The account information you provide is accurate
- The business is legally permitted to offer the products and services shown through BananaBox
3. Vendor Accounts
Vendors may be required to create an account to access administrative features.
Vendors agree to:
- Provide accurate and current account information
- Maintain the confidentiality of account credentials
- Use a strong and unique password
- Restrict access to authorized representatives
- Promptly update inaccurate or outdated information
- Notify BananaBox of suspected unauthorized account access
- Accept responsibility for activity conducted through their accounts
BananaBox may treat actions performed using valid account credentials as authorized unless we have received notice of unauthorized access.
Vendor accounts may not be sold, transferred, shared with unauthorized parties, or used to impersonate another person or business without our written permission.
4. Customer Orders
Customers may be able to browse menus and submit orders without creating a BananaBox account.
By submitting an order, a Customer represents that:
- The submitted contact and order information is accurate
- The Customer is authorized to place the order
- The Customer intends to collect and pay for the order under the Vendor’s stated terms
- The Customer will comply with the Vendor’s pickup, cancellation, and fulfillment requirements
An order submitted through BananaBox may constitute an order request rather than guaranteed acceptance. A Vendor may accept, reject, modify, cancel, or be unable to fulfill an order.
The Vendor, rather than BananaBox, is responsible for:
- Confirming availability
- Preparing the order
- Ensuring the order matches the Customer’s request
- Establishing pickup procedures
- Collecting payment
- Processing Vendor-authorized cancellations or refunds
- Resolving product-quality and fulfillment disputes
5. Pay-at-Pickup Transactions
BananaBox currently operates using a pay-at-pickup model. Customers generally pay Vendors directly when collecting their orders.
Unless expressly stated otherwise:
- BananaBox does not collect Customer payment for the underlying order
- BananaBox does not hold Customer funds
- BananaBox is not a bank, money transmitter, escrow provider, or payment institution
- BananaBox is not responsible for cash, card, or other payments made directly to a Vendor
- Payment disputes must ordinarily be resolved between the Customer and Vendor
BananaBox may introduce online payment functionality in the future. Any additional payment terms will be presented before that functionality becomes available.
6. Vendor Responsibilities
Each Vendor is an independent business and is solely responsible for its operations.
Vendors are responsible for:
- Product descriptions, pricing, photographs, and availability
- Food preparation, handling, storage, packaging, and labeling
- Ingredient and allergen disclosures
- Product quality and safety
- Required permits, licenses, registrations, and inspections
- Compliance with food-service, cottage-food, health, tax, and business laws
- Determining and collecting applicable taxes
- Customer service
- Order acceptance, fulfillment, cancellation, and refunds
- Maintaining accurate pickup information
- Communications made to Customers
- Actions of employees, contractors, and account representatives
- Obtaining permission to upload or publish content
- Maintaining any required business insurance
BananaBox does not inspect, certify, supervise, or guarantee Vendors, facilities, kitchens, employees, products, or business practices.
A Vendor’s use of BananaBox does not mean BananaBox endorses or verifies that Vendor.
7. Food Safety and Allergens
Vendors are solely responsible for providing accurate ingredient, dietary, allergy, and food-safety information.
Customers with allergies, sensitivities, medical restrictions, religious restrictions, or dietary requirements should contact the Vendor directly before ordering.
BananaBox does not independently verify:
- Ingredients
- Allergen statements
- Cross-contamination controls
- Nutrition information
- Dietary classifications
- Preparation methods
- Storage conditions
- Food-safety compliance
Customers assume the risks associated with purchasing and consuming products from independent Vendors, subject to rights that cannot legally be waived.
8. Vendor Terms and Policies
Vendors may establish additional policies governing:
- Order deadlines
- Pickup windows
- Deposits
- Minimum order values
- Cancellations
- Refunds
- Late pickups
- Unclaimed orders
- Product substitutions
- Custom orders
Vendor policies apply between the Vendor and Customer to the extent they do not conflict with applicable law or these Terms.
BananaBox is not responsible for creating, interpreting, or enforcing Vendor policies.
9. Fees and Paid Features
Some Services may currently be free or offered on a trial basis. BananaBox may introduce subscriptions, transaction fees, usage limits, premium features, or other charges.
Before charging a Vendor, BananaBox will disclose applicable pricing and material billing terms.
Unless otherwise stated:
- Fees are quoted in United States dollars
- Fees do not include applicable taxes
- Vendors are responsible for taxes associated with their purchase of BananaBox Services
- Paid fees are nonrefundable except where required by law or expressly stated
- Failure to pay may result in restriction or suspension of paid features
BananaBox may change future pricing upon reasonable notice. Pricing changes will not retroactively alter amounts already due.
10. User Data
“User Data” means information, content, and records submitted to, generated through, or collected by BananaBox, including:
- Vendor business information
- Account information
- Menu and product information
- Customer order information
- Uploaded images and content
- Pickup and scheduling information
- Communications
- Usage and technical information
- Personal information
Users retain ownership of User Data they submit, subject to the licenses granted in these Terms.
Our collection and use of User Data are also governed by the BananaBox Privacy Policy.
11. License to User Data
Users grant BananaBox a worldwide, nonexclusive, sublicensable, transferable, royalty-free license to host, store, reproduce, process, format, modify, transmit, display, distribute, analyze, and otherwise use submitted User Data as reasonably necessary to:
- Operate the Services
- Display public menus and storefronts
- Process and maintain orders
- Provide technical support
- Secure and monitor the Services
- Develop and improve features
- Create analytics and business insights
- Conduct research and testing
- Promote the Services where permitted
- Comply with legal obligations
- Exercise rights described in the Privacy Policy
This license continues for as long as needed to provide the Services and fulfill applicable retention, archival, legal, security, research, and business purposes.
Public Vendor content may remain available through cached pages, search engines, content-delivery systems, backups, or third-party copies after removal from an active storefront.
12. Feedback and Product Development
Users may provide comments, ideas, suggestions, feature requests, workflow descriptions, or other feedback.
Feedback is voluntary and is not confidential unless BananaBox expressly agrees otherwise in writing.
Users grant BananaBox the unrestricted right to use, modify, commercialize, publish, and incorporate feedback into current or future products and services without compensation, attribution, or obligation.
BananaBox may use aggregated, deidentified, operational, ordering, menu, and usage information to develop:
- Automation tools
- Recommendations
- Analytics
- Artificial-intelligence-supported features
- Operational workflows
- Marketing services
- New products and business offerings
The Privacy Policy governs uses involving personal information.
13. Data Retention and Account Closure
BananaBox maintains business records to preserve order history, support disputes, provide auditability, prevent accidental loss, improve the Services, and satisfy legal or operational requirements.
User-facing deletion functions may archive, deactivate, hide, or soft-delete records without permanently removing the underlying database record.
Order-related records may include:
- Customer order details
- Menu items and variations
- Prices
- Payment references
- Status history
- Timestamps
- Pickup information
- Logs and related metadata
Completed or archived order records may be retained for at least seven years. Application logs may generally be retained for at least one year, while security or audit logs may be retained longer.
Closing an account does not automatically require BananaBox to erase records that we are permitted or required to retain.

14. Acceptable Use
Users may not use the Services to:
- Violate any law or regulation
- Offer illegal, unsafe, stolen, counterfeit, or prohibited products
- Sell products without required authorization
- Misrepresent a business, product, price, ingredient, or order
- Infringe intellectual-property, privacy, publicity, or contractual rights
- Upload malware or harmful code
- Attempt unauthorized access to accounts, systems, or data
- Interfere with the operation or security of the Services
- Scrape, harvest, or extract data except as expressly permitted
- Circumvent usage limits or security controls
- Create fraudulent accounts or orders
- Conduct payment fraud
- Harass, threaten, exploit, or deceive another person
- Use the Services to distribute spam
- Reverse engineer the Services except where such restriction is prohibited by law
- Resell or commercially exploit the Services without authorization
- Use automated systems in a manner that places unreasonable demand on the Services
- Use the Services to develop a directly competing product using unauthorized access to BananaBox systems or nonpublic data
BananaBox may investigate suspected violations and cooperate with lawful investigations.
15. User Content Standards
Users represent that they have the necessary rights and permissions to submit and publish their content.
User content must not:
- Be false, deceptive, defamatory, or unlawful
- Infringe copyrights, trademarks, trade secrets, or other rights
- Reveal another person’s confidential information without authority
- Contain malicious software
- Depict unlawful exploitation or abuse
- Promote illegal products or activities
- Include content that the User lacks permission to publish
BananaBox may remove, restrict, or disable access to content that violates these Terms, creates risk, receives a credible complaint, or may expose BananaBox or others to liability.
16. Intellectual Property
The Services—including software, interfaces, workflows, designs, text, graphics, branding, databases, documentation, and underlying technology—are owned by CommonGrid or its licensors and are protected by intellectual-property laws.
Except for the limited right to access and use the Services under these Terms, no rights are transferred to Users.
Users may not use the BananaBox or CommonGrid name, logo, trademarks, trade dress, or branding without written permission.
17. Limited License to Use the Services
Subject to compliance with these Terms, BananaBox grants Users a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Services for their intended business or ordering purposes.
For a mobile application downloaded through an application marketplace, this license is limited to devices the User owns or controls and remains subject to the marketplace’s applicable usage rules.
No license is granted to reproduce, distribute, modify, sell, lease, sublicense, or create derivative products from the Services except as expressly authorized.
18. Third-Party Services
The Services may rely on or link to third-party services, including:
- Hosting providers
- Database providers
- Email-delivery providers
- Image-hosting providers
- Content-delivery networks
- Analytics services
- Authentication systems
- Payment processors
- Application marketplaces
- Vendor websites or social-media pages
Third-party services operate under their own terms and privacy policies.
BananaBox does not control and is not responsible for third-party availability, content, security, accuracy, policies, or conduct.
19. Mobile Application Marketplace Terms
When a mobile application is obtained through Apple’s App Store, Google Play, or another marketplace, the marketplace may impose additional terms.
The marketplace is not responsible for providing maintenance or support for BananaBox except as required by its own rules.
To the extent permitted by law:
- CommonGrid, rather than the marketplace, is responsible for the BananaBox application
- The marketplace is not responsible for claims concerning the application or its use
- Users must comply with applicable marketplace terms
- The marketplace and its affiliates may be third-party beneficiaries of the mobile-license provisions where required by marketplace rules
For Apple-distributed applications, Apple and its subsidiaries are third-party beneficiaries of the applicable mobile-license terms and may enforce those provisions against the User.
20. Service Availability and Changes
BananaBox may modify, update, suspend, restrict, or discontinue all or part of the Services.
We do not guarantee that:
- The Services will always be available
- Orders or notifications will always be delivered without delay
- Every error will be corrected
- Every feature will remain available
- The Services will operate on every browser, device, or operating system
- Data will never be lost
BananaBox may perform maintenance, testing, upgrades, migrations, and security work that temporarily affects availability.
Where reasonably practical, we may provide notice of material discontinuation affecting paid Services.
21. Beta and Experimental Features
BananaBox may provide beta, preview, automated, artificial-intelligence-supported, or experimental features.
These features may:
- Be incomplete
- Produce inaccurate or unexpected results
- Change without notice
- Have limited support
- Be discontinued
- Require human review before business reliance
Vendors remain responsible for reviewing menus, prices, schedules, communications, recommendations, and operational actions before relying on them.
22. Electronic Communications
Users consent to receive electronic communications relating to:
- Accounts
- Orders
- Pickup status
- Security
- Service changes
- Legal notices
- Support
- Billing
- Other operational matters
Communications may be delivered through email, application interfaces, mobile notifications, or other contact methods provided by the User.
Electronic communications satisfy legal writing requirements to the extent permitted by law.
Marketing communications are subject to applicable law and unsubscribe rights.
23. Suspension and Termination
BananaBox may restrict, suspend, or terminate access when we reasonably believe:
- These Terms have been violated
- An account creates legal, security, fraud, or reputational risk
- Required fees remain unpaid
- A Vendor lacks necessary authorization
- An account is inactive
- Continued service is no longer commercially feasible
- Suspension is necessary to protect Users, BananaBox, or third parties
- We are required to do so by law or a service provider
Users may stop using the Services at any time. Vendors may request account closure through the available account process or contact information.
Termination does not eliminate obligations that arose before termination.
Sections concerning User Data, retention, intellectual property, disclaimers, liability, indemnification, disputes, and other provisions intended by their nature to survive will remain effective.
24. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available.”
BananaBox disclaims all express, implied, and statutory warranties, including warranties of:
- Merchantability
- Fitness for a particular purpose
- Title
- Noninfringement
- Accuracy
- Availability
- Reliability
- Security
- Error-free operation
BananaBox does not warrant or guarantee:
- Any Vendor or Customer
- Product quality, safety, legality, or availability
- Food preparation or allergen handling
- Order acceptance or fulfillment
- Pickup completion
- Business revenue or Customer demand
- The accuracy of User content
- Continuous delivery of email or notifications
- Results from automation, analytics, or artificial intelligence
- Preservation of every item of User Data
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply.
25. Limitation of Liability
To the maximum extent permitted by law, CommonGrid, BananaBox, and their owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:
- Lost profits
- Lost revenue
- Lost business
- Lost data
- Business interruption
- Reputational harm
- Replacement-service costs
This limitation applies to claims arising from:
- Use of or inability to use the Services
- Vendor or Customer conduct
- Food quality, safety, allergens, or illness
- Orders, cancellations, pickups, payments, or refunds
- Unauthorized access
- Service interruption
- Data loss
- Third-party services
- Reliance on automated or AI-supported outputs
To the maximum extent permitted by law, BananaBox’s aggregate liability arising from the Services will not exceed the greater of:
- The amount the claimant paid directly to BananaBox during the six months preceding the event giving rise to the claim; or
- One hundred United States dollars.
These limitations apply regardless of the legal theory and even if BananaBox was advised that damages were possible.
Nothing in these Terms excludes liability that cannot legally be excluded.
26. Vendor Indemnification
To the maximum extent permitted by law, each Vendor agrees to defend, indemnify, and hold harmless CommonGrid, BananaBox, and their owners, officers, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from:
- The Vendor’s products or business operations
- Food preparation, safety, labeling, ingredients, or allergens
- Orders, payments, cancellations, pickups, or refunds
- The Vendor’s content
- The Vendor’s violation of law
- The Vendor’s violation of these Terms
- The Vendor’s infringement of another party’s rights
- Conduct of the Vendor’s employees, contractors, or account representatives
BananaBox may control the defense of a covered claim, and the Vendor agrees to reasonably cooperate.
27. Disputes Between Vendors and Customers
Vendors and Customers are expected to resolve transaction disputes directly.
BananaBox may choose to:
- Provide records
- Facilitate communication
- Investigate misuse
- Restrict an account
- Remove content
BananaBox is not obligated to mediate, adjudicate, reimburse, refund, or resolve disputes between Users.
Nothing in this section prevents a User from exercising legal rights against another User.
28. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, disputes arising from these Terms or the Services must be brought in a state or federal court having jurisdiction over Houston County, Georgia.
Each party consents to the personal jurisdiction and venue of those courts.
This provision does not prevent either party from seeking appropriate injunctive or equitable relief where legally available.
29. Changes to These Terms
BananaBox may update these Terms to reflect:
- Service changes
- New features
- Pricing changes
- Legal requirements
- Security concerns
- Business-model changes
- Changes to third-party platforms
We will post updated Terms with a revised “Last Updated” date.
When legally required, we will provide additional notice or request affirmative acceptance.
Continued use after updated Terms become effective constitutes acceptance, except where applicable law requires another form of agreement.
30. General Provisions
These Terms and incorporated policies constitute the entire agreement concerning the Services unless a separate written agreement applies.
If any provision is held unenforceable, the remaining provisions remain effective, and the affected provision will be enforced to the maximum lawful extent.
Failure to enforce a provision is not a waiver.
Users may not assign these Terms without BananaBox’s written consent. BananaBox may assign these Terms in connection with a merger, financing, restructuring, sale, or transfer of business assets.
Headings are provided for convenience and do not affect interpretation.
No agency, partnership, joint venture, employment, franchise, fiduciary, or marketplace-seller relationship is created between BananaBox and a User.
